1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and PROCUX Teknoloji Anonim Şirketi, the company that operates the Procux AI platform and the website at https://www.procux.com (together, "Procux AI", "we", "us" or "our").

By creating an account, accessing or using our services, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not use our services.

These Terms must be read together with our Privacy Policy and Refund Policy, which are incorporated by reference.

2. Description of Service

Procux AI is a software-as-a-service platform that provides AI-powered tools for business operations, including content generation, process automation, data analysis and decision support.

We may add, change, suspend or remove features at any time to improve the service. Where a change materially reduces core functionality of a paid plan, we will give reasonable prior notice.

3. Eligibility & Accounts

You must be at least 18 years old, or have the consent of a parent or legal guardian, and have the legal capacity to enter into these Terms.

You are responsible for providing accurate, current and complete account information and for keeping it up to date.

You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorised use.

4. Acceptable Use

You agree not to use the services to:

• carry out any unlawful, fraudulent or deceptive activity;

• infringe the intellectual-property, privacy or other rights of any third party;

• generate or distribute harmful, abusive, hateful, defamatory or discriminatory content;

• attempt to gain unauthorised access to, disrupt, or compromise the security or integrity of our systems;

• reverse engineer the platform, or resell or sublicense the services without our written consent.

We may suspend or terminate access for conduct that violates this section.

5. Intellectual Property

The platform, its software, design, trademarks and all related content are owned by PROCUX Teknoloji Anonim Şirketi or its licensors and are protected by intellectual-property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the services for your internal business purposes during your subscription, subject to these Terms.

These Terms do not transfer any ownership of our intellectual property to you.

6. Your Content & Data

You retain ownership of the content and data you submit to the platform ("Customer Content"). You are responsible for ensuring you have the rights to submit it and that it does not violate these Terms or applicable law.

You grant us a limited licence to host, process and transmit your Customer Content solely to provide and support the services and as instructed by you.

We process personal data in accordance with our Privacy Policy and applicable data-protection law.

7. Privacy & Data Protection

Your privacy matters to us. Our Privacy Policy explains what personal data we collect, how we use and protect it, and the rights available to you.

We process personal data in accordance with the Turkish Personal Data Protection Law (KVKK) No. 6698 and, where applicable, the EU General Data Protection Regulation (GDPR).

By using the services you acknowledge the data practices described in our Privacy Policy.

8. Subscriptions, Pricing & Payment

Prices for our plans are shown on our Pricing page and are stated in the applicable currency. Unless stated otherwise, prices exclude taxes; any applicable VAT or sales tax is calculated and added at checkout.

Payments for our subscriptions and one-time purchases are processed by our Merchant of Record, Paddle.com Market Limited ("Paddle"). As Merchant of Record, Paddle handles the transaction, billing, payment-method processing, fraud screening, and the collection and remittance of applicable taxes, and issues your invoice or receipt.

Your purchase is therefore also subject to Paddle's buyer terms and privacy notice presented at checkout.

Paid plans are offered on a subscription basis and renew automatically for the same period unless cancelled before the renewal date. You authorise Paddle to charge your selected payment method for the applicable fees, including at each renewal, until you cancel.

9. Refunds & Cancellation

We offer a 14-day money-back guarantee on new subscriptions. Full conditions are set out in our Refund Policy.

You may cancel your subscription at any time from your account dashboard or by contacting us; cancellation stops future renewals.

Approved refunds are returned to your original payment method by our Merchant of Record, Paddle.

10. Service Availability

We work hard to keep the services available, but we do not guarantee uninterrupted or error-free operation.

Planned maintenance is announced in advance where practicable. Emergency maintenance or critical security updates may be carried out without prior notice.

11. Disclaimers

The services and any AI-generated output are provided "as is" and "as available", without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

AI-generated output may be inaccurate or incomplete. You are responsible for reviewing output before relying on it, and the services are not a substitute for professional advice.

12. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue or data.

Our total aggregate liability arising out of or relating to the services is limited to the amount you paid for the services in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law, including your mandatory consumer rights.

13. Indemnification

You agree to indemnify and hold harmless PROCUX Teknoloji Anonim Şirketi and its officers, employees and agents from any claims, damages or expenses arising from your misuse of the services, your Customer Content, or your breach of these Terms or applicable law.

14. Term & Termination

You may close your account at any time. These Terms continue to apply while you use the services.

We may suspend or terminate your access if you materially breach these Terms, fail to pay applicable fees, or where required to protect the service or comply with law.

On termination, your right to use the services ends. We may retain or delete your data in line with our Privacy Policy and legal obligations.

15. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date below reflects the latest version.

For material changes we will provide reasonable notice, for example by email or an in-product notice. Continued use of the services after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Türkiye, without regard to its conflict-of-laws rules.

The courts and execution offices of Balıkesir, Türkiye shall have jurisdiction over any dispute arising out of or relating to these Terms.

This does not deprive you of any mandatory consumer-protection rights available to you under the laws of your country of residence.
